Terms of Service
Operational standards, membership eligibility, liability limitations, and statutory legal terms governing the use of the Tally52 platform.
1. Acceptance of Terms, Eligibility & Absolute Right to Refuse Membership
By accessing, browsing, registering for, or utilizing Tally52, you enter into a legally binding agreement with Tally52. You must be at least 18 years of age or the legal age of majority in your jurisdiction to create an account or use our services. Tally52 expressly reserves the unilateral and unconditional right to refuse registration, deny membership, restrict account privileges, suspend access, or terminate any account or membership at any time, for any reason or no reason, without prior notice or liability, subject only to mandatory statutory consumer protections.
2. Administrative Tool: Strict Disclaimer of Financial, Tax & Legal Advice
Tally52 is an administrative software utility engineered solely for mathematical modeling, personal cash-flow projection, and self-directed record keeping. Tally52 is not a registered financial advisor, certified public accountant, investment manager, credit repair organization, or banking institution. All calculations, rolling 52-week horizons, debt payoff estimates, and financial projections are informational simulations only. You acknowledge and agree that you retain sole, exclusive responsibility for your financial decisions, tax filings, and budgeting choices.
3. Member Accounts, Security & Independent Backups
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized access or security breach. You are also solely responsible for maintaining independent backups and exports of your financial records. Tally52 disclaims all liability for unauthorized account access resulting from compromised credentials or user negligence.
4. Subscriptions, Free Tier, Billing & Cancellations
Tally52 provides a lifetime Free Tier as well as paid subscription tiers (Pro Monthly, Pro Annual, Household Duo). Paid subscriptions are billed in advance on a recurring cadence through our authorized payment processor, Stripe. You may cancel your subscription at any time via your account dashboard; cancellation takes effect at the conclusion of the current paid billing cycle. All paid fees are non-refundable to the maximum extent permitted by applicable law.
5. Acceptable Use, System Integrity & Intellectual Property
You agree not to reverse engineer, decompile, scrape, crawl, exploit, load-test, or disrupt the platform, its proprietary calculation engines, visual design tokens, or underlying software. You must not attempt to bypass authentication barriers or tamper with service integrity. All trademarks, Community Designs, software architecture, algorithms, and content associated with Tally52 remain the exclusive intellectual property of Tally52.
6. Comprehensive Warranty Disclaimer: Software Errors, Internet Speed & Sync Disclaimers
To the maximum extent permitted by applicable law, Tally52 is provided strictly on an 'as is' and 'as available' basis, with all faults and defects, without warranty of any kind, whether express, implied, or statutory. Tally52 expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the generality of the foregoing, Tally52 makes no warranty and disclaims all liability regarding: (a) software bugs, mathematical or computational glitches, code defects, application crashes, or system downtime; (b) internet connectivity failures, bandwidth limitations, latency, packet loss, or internet speed fluctuations; (c) device synchronization failures, sync latency, offline-to-online reconciliation conflicts, or cloud storage delays; and (d) data loss, transmission errors, hardware failures, or third-party infrastructure outages. You use the service entirely at your own risk.
7. Limitation of Liability & Aggregate Damages Cap
To the maximum extent permitted by applicable law, under no circumstances shall Tally52, its founders, operators, employees, affiliates, or licensors be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, financial losses, tax penalties, investment setbacks, overdraft fees, data corruption, sync errors, or business interruption, arising out of or in connection with your use of or inability to use the platform. In any event, the total aggregate liability of Tally52 for all claims arising under or related to these Terms or the service shall not exceed the greater of the amount actually paid by you to Tally52 in the twelve (12) months preceding the claim, or fifty United States dollars ($50.00 USD) if you use the Free Tier. Nothing in these Terms shall limit or exclude liability where prohibited by mandatory consumer protection or GDPR statutory law.
8. Indemnification & Hold Harmless
You agree to defend, indemnify, and hold harmless Tally52, its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable legal and attorneys' fees) arising out of or related to your access to or use of the platform, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law, International Dispute Resolution & Inquiries
These Terms shall be governed by and construed in accordance with applicable statutory laws, respecting mandatory consumer protection statutes in the member's jurisdiction of residence across the United States, Latin America, Europe, and internationally. Any disputes arising in connection with these Terms shall first be addressed through good-faith informal negotiation before pursuing judicial remedies. To the fullest extent permitted by law, you agree that any proceeding shall be conducted solely on an individual basis and not as a class action.
